Terms of Service

Scope
These Terms govern the relationship between Vincent Picchi ("Provider") and any person or entity ("Client") requesting or using the services offered through vincentpicchi.com and salise.design. By starting a collaboration you confirm you have read and accepted these Terms. If you act on behalf of a company, you confirm you have authority to bind it.
Services
The Provider offers the following services:
Software development
Web applications, APIs, back-end systems and front-end interfaces — primarily Next.js, TypeScript and Node.js.
Technical consulting
1:1 sessions on architecture, stack selection, code review and performance.
Design & branding
Visual identity, UI design and graphic work, delivered through Salise (salise.design).
The specific scope of each project is defined in a separate document (quote, proposal or contract) signed by both parties before work begins.
Quotes & Payment
Quotes are valid for 30 days. The contract is established upon written acceptance of the quote. Unless otherwise agreed in writing: 50% is due at project start, the remainder upon delivery. Invoices are due within 14 days. Late payments accrue statutory interest and may result in suspension of work.
Intellectual Property
All rights to materials, code, design and output remain with the Provider until full payment is received. Upon payment, the Client receives an exclusive, perpetual licence to use the deliverables created specifically for the project.
Tools, frameworks, libraries and general components developed independently of the project remain exclusively owned by the Provider. The Provider reserves the right to feature the project in their portfolio unless the Client explicitly requests confidentiality.
Revisions
The number of revision rounds included is specified in the quote. Changes outside the original scope or requested after final delivery are treated as new work and quoted separately. The Client is responsible for providing timely feedback and materials. Delays caused by the Client may shift agreed delivery dates.
Cancellation
Either party may terminate the contract with 14 days' written notice. If the Client cancels, payment is due for work completed to date plus any unrecoverable costs already incurred. Consulting sessions cancelled with less than 48 hours' notice are charged in full.
Liability
The Provider will perform services with professional diligence and in line with industry best practices. No specific business outcomes or financial results are guaranteed, as these depend on factors outside the Provider's control.
Except in cases of wilful misconduct or gross negligence, the Provider's liability is limited to the net fees received for the specific project. The Provider is not liable for indirect damages, loss of profit, data loss or reputational harm.
Governing Law
These Terms are governed by Italian law. Any dispute shall first be addressed through a 30-day amicable resolution attempt. If unresolved, disputes fall under the exclusive jurisdiction of the court in the Provider's place of residence.
